BY-LAWS OF THE

LAZY MOUNTAIN COMMUNITY COUNCIL

As Approved October 14, 1993, Lazy Mountain Bible Church, Palmer. Alaska

and as Amended October 9, 2008, Lazy Mountain Bible Church, Palmer, Alaska

ARTICLE 1. NAME

The name of this community council shall be the LAZY MOUNTAIN COMMUNITY COUNCIL.

ARTICLE 2. BOUNDARIES

The area within the following sections shall comprise the area represented by the Lazy Mountain
Community Council: That portion beginning at NE corner Sec. 5, T.18N, R.2E, SM thence in a
westerly direction to the ordinary high water mark of the east bank of the Matanuska River; thence
meandering in a southerly direction along the ordinary high water mark of the east bank of the
Matanuska River for a distance of approximately nine miles to the south township line of T.18N, R.2E;
thence in an easterly direction a distance of approximately five miles to the SE corner, Sec. 32, T.
18N, R.2E; thence in a northerly direction along the section lines to the point of beginning.

ARTICLE 3. PURPOSE

The purpose of the Lazy Mountain Community Council shall be to improve communications between
the Matanuska-Susitna Borough and citizens of the community represented, to improve
communications between citizens within the community area, to encourage community involvement of
all citizens in local government matters which affect them and to provide emergency assistance for
people within the Lazy Mountain Community Council boundary area.

ARTICLE 4. MEMBERSHIP

A. General Member. Any person of age 18 or older who has a residence for voting purposes within the
boundaries of the Lazy Mountain Community Council is eligible for general membership.

B. Limited Member. Any person who owns property or who represents a business within the boundaries
of the community council, but is not a resident, is eligible for a limited membership. Any person who
is a resident of the council area of at least 16 years of age but less than 18 years is eligible for a
limited membership. Limited members may not vote in decisions affecting the community council,
but may otherwise participate in meetings and ‘activities of the council.

ARTICLE 5. VOTING

A. Any member is eligible to vote in person at any meeting.

B. There shall be no voting by proxy.

C. The election of board members, officers and committee chairpersons shall be conducted by secret
written ballots subject to rules and procedures established by the council board.

D. Voting on other matters considered by the council may be by a show of hands if such a vote will
permit accurate counting of votes. Secret ballot voting may also be used. Each general member
present is entitled to one vote.

E. The council board shall establish and maintain a written voting list of general members.

F. Previous notice will be required for consideration of any motion that has the effect of changing or
nullifying previous action of the community council.

G. No motions may be brought to the floor at general meeting after 9:00 PM, except the motion to
adjourn.

H. Absentee ballots will be provided by LMCC secretary prior to the meeting when requested by
residents of the Lazy Mountain area for matters that come before the council which require a vote.
Absentee ballots must be received by the council secretary within 21 days of the date the issue was
voted upon at general meeting.

ARTICLE 6. DUES

The council board may establish dues at the annual meeting of the community council. The dues
established by the board shall not exceed $5.00 per year. Other funds may be raised by donations,
grants or fund-raising activities.

ARTICLE 7. QUALIFICATIONS OF COUNCIL BOARD MEMBERS

General members of the community council only are eligible to be nominated or hold a position on
the council board. If a board member moves out of the community council area or otherwise loses
general membership status during the term of office, that board position shall immediately become
vacant. The remaining board members may appoint a general member to fill the position for the
remainder of the term or may hold a public meeting, with notice, to elect a new board member.

ARTICLE 8. COUNCIL ORGANIZATION

A. Council Board. The council board shall consist of seven general members of the community council.

B. Election of board members. The members of the council board shall be elected by the general
membership of the community council at an annual meeting to be held in October of each year.
Officers shall be selected by the council board following the election of members to the board or at
any time an officer position becomes vacant.

C. The council board shall select a president, vice-president, secretary and treasurer from among
themselves. Officers of the community council shall all be members of the board. However, one
board member may hold both the position of secretary and treasurer.

D. Council Committees. The council board may create special committees to act in areas of special
interest on behalf of the community council. Members of the committee shall be appointed by the
board, but shall be open to any general or limited member wishing to serve on the committee.
Committees shall be reviewed by the board after every annual meeting.

ARTICLE 9. ELECTIONS

A. At the October annual meeting, the president of the council shall conduct elections for the board
members for the following two years.

B. Before the annual meeting, the council board shall appoint a nominating committee of at least three
general members to nominate persons for election to the board. The committee shall nominate for
election to the board at least the number of seats which will be vacant. Nominations at the annual
meeting may include nominations made and seconded from the floor by general members.

C. General members shall vote on written ballots which shall include the names of persons submitted
by the nominating committee and space for other names nominated. Each general member shall be
entitled to vote once for each board position to be filled. The members who receive the most votes
overall shall be seated as members of the council board.

D. Elected board members shall serve for a term of two years. The names of all board members and
officers shall be provided to the Borough Clerk.

ARTICLE 10. RESPONSIBILITIES

A. President. The president is responsible for running the general membership meeting, calling and
presiding at council board meetings in representing the interests of the community council- The
president may appoint a professional parliamentarian to advise the presiding officer on questions of
procedure.

B. Vice-president. The vice-president is responsible for the duties of the president during the president’s
absence and shall otherwise assist the president in representing the community council.

C. Secretary. The secretary is responsible for keeping minutes of membership meetings and council
board meetings.

D. Treasurer. The treasurer is responsible for keeping financial records of the community council and
for preparing statements for the council board and general membership, a year end report and a
proposed budget for council activities.

ARTICLE 11. REMOVAL OF COUNCIL BOARD MEMBERS FROM OFFICE

A member of the council board may be removed by the board from office for unexcused absences
from three consecutive meetings, or by the general membership by a two-thirds vote of those present
at a general meeting with notice.

ARTICLE 12. MEETINGS

A. An annual meeting shall be held at least once a year in October and general meetings at other times
that the council board may set. A general meeting may also be called by the written petition of ten or
more general members.

B. The council board may meet at other times and more frequently but shall call a general meeting for
matters of general interest to the community.

C. General meetings shall require notice within the community council area. Notice shall be placed in a
newspaper of general circulation within the council area at least 7 days and not more than 28 days
before the general meeting is scheduled. A sign shall be prominently posted several days prior to
any meeting. Notice for the annual meeting and all other meetings shall be posted on the Lazy
Mountain Community Council website at least two weeks in advance of the meeting. A draft agenda
shall be posted a week in advance of the meeting. Mail notices will be sent to Community Council
members who request mailed notices of meetings, so long as mailing charges do not exceed 25% of
the total amount in the LMCC bank account.

D. Quorum. A quorum shall consist of at least – 10 community council members.

E. Parliamentary Procedure. In all matters of business not otherwise specified in our by-laws we will
conform to Robert’s Rules of Order.

ARTICLE 13. TREASURY

Council funds shall be disbursed only for legitimate purposes of the community council. Funds as
necessary shall be reserved to pay the cost of mailing of notices of meetings to the council
membership. The president, vice-president, and treasurer shall be authorized to sign checks of the
council.

ARTICLE 14. REPRESENTATION OF THE COMMUNITY COUNCIL

A. No officer or member of the community council shall purport to represent the views or interests of the
Lazy Mountain Community Council without the express authorization of the general members of the
council. Action of the council shall require a vote of the general membership. The council board is
authorized to carry out the necessary steps to conduct action authorized by the general membership.

B. When a designated representative speaks on behalf of the council, the representative shall be
prepared to provide information showing how the action was taken, including the results of any votes
at meetings, telephone opinion polling or other action of the council.

C. Any member of the community council shall always retain the right to appear on his or her own
behalf and take any position consistent or different from the community council on any matter.

ARTICLE 15. AMENDMENTS

These by-laws may be amended only at the annual council meeting unless the council board finds an
emergency to exist, requiring an earlier general meeting. Notice of any general meeting in which the
by-laws are amended must include at least 14 days notice posted on the Lazy Mountain Community
Council website and shall include the proposed bylaw changes. Notice of bylaw changes on the
agenda shall be mentioned in published notices. Changes to the by-laws shall require a vote of at
least 10 members or a two-thirds majority of the general members present at the meeting, whichever
is greater.

ARTICLE 16. COMPLIANCE WITH BOROUGH CODE

All by-laws shall conform to the requirements of the Matanuska- Susitna Borough Code, Chapter
2.76, for community councils.
