ARTICLES OF INCORPORATION FOR LAZY MOUNTAIN COMMUNITY COUNCIL

ARTICLE I.  NAME

The name of the Corporation shall be Lazy Mountain Community Council.

ARTICLE 2.  DURATION PERIOD

The duration period of the Lazy Mountain Community Council shall be perpetual.

ARTICLE 3. PURPOSE

The purpose of the Lazy Mountain Community Council is to provide a public process improving communications among its citizens and government, empowering the community to resolve its problems, contemplate future improvements for the community, and manage its resources and funds for public benefit.

ARTICLE 4.  REGULATION OF INTERNAL AFFAIRS AND DISTRIBUTION OF ASSETS 

A. Lazy Mountain Community Council is established for the general public benefit of the Lazy Mountain Community and is governed by its Bylaws.

B. Incorporation of Lazy Mountain Community Council, which has previously held prominence in this community for the purposes stated in Article 3 of its Bylaws, now incorporates due to governmental changes in the requirements for community councils within the Matanuska Susitna Borough and retaining its effectiveness therein.

C. The Lazy Mountain Community Council board of directors shall have only a voting share with no share having a monetary share value.

D. The Lazy Mountain Community Council and members of its board of directors shall not and cannot borrow or incur either monetary indebtedness or real property indebtedness under this corporation name for any reason.

E. Lazy Mountain Community Council shall have no stockholders and shall not be able to issue stock in the corporation.

F. The corporation known as Lazy Mountain Community Council, its board of directors and duties are established by its Bylaws.

G. Other provisions that are not in conflict with these Articles for the management of Lazy Mountain Community Council’s business and for the conduct of the affairs of the corporation, including any provision that is required by these Articles, are stated in the Bylaws.
